This SECOND AMENDMENT TO RIGHTS AGREEMENT dated August 20, 2007 (the “Second Amendment”), is between WCI Communities, Inc., a Delaware corporation (the “Company”), and Computershare Trust Company, N.A. (the “Rights Agent”). Capitalized terms used but not defined in this Second Amendment shall have the meanings assigned to such terms in the Rights Agreement (as defined below).

THIS THIRD AMENDMENT OF TERM LOAN AGREEMENT (this “Amendment”) is entered this 17th day of August, 2007 by and among WCI COMMUNITIES, INC., a Delaware corporation, as Borrower, KEYBANK NATIONAL ASSOCIATION, a national banking association, having its principal place of business at 127 Public Square Cleveland, OH 44114, as administrative agent (“Administrative Agent”) for the financial institutions listed on the signature pages hereto and the other financial institutions from time to time party to the Term Loan Agreement, as hereinafter defined (collectively referred to herein as the “Lenders”) and KEYBANC CAPITAL MARKETS, a division of KeyBank National Association, as Co-Lead Arranger and Sole Book Arranger, and WACHOVIA CAPITAL MARKETS, LLC, as Co-Lead Arranger.

THIS FIRST AMENDMENT TO THIRD CONSOLIDATED, AMENDED AND RESTATED REVOLVING CREDIT CONSTRUCTION LOAN AGREEMENT (hereinafter referred to as this “Amendment”), is made as of August 17, 2007, by and among WCI COMMUNITIES, INC., a Delaware corporation (“Borrower”), BAY COLONY-GATEWAY, INC., a Delaware corporation, RESORT AT SINGER ISLAND PROPERTIES, INC., a Florida corporation (collectively “Guarantors”), and WACHOVIA BANK, NATIONAL ASSOCIATION, a national banking association, (“Wachovia”) as Agent for itself and the Lenders (as defined herein) and Lenders.

This AGREEMENT, dated as of August 20, 2007 (the “Agreement”), is by and among WCI Communities, Inc., a Delaware corporation (the “Company”), and Icahn Partners LP, a Delaware limited partnership, Icahn Partners Master Fund LP, a Delaware limited partnership, and High River Limited Partnership, a Delaware limited partnership (collectively, the “Icahn Parties”, and together with the Company, the “parties”).
