FIRST SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of August 31, 2007, among Windstream Corporation, a Delaware corporation (the “Company”), certain subsidiaries of the Company as set forth on Exhibit I (each, a “Guaranteeing Subsidiary”), and U.S. Bank National Association, a national banking association organized under the laws of the United States (or its permitted successor), as trustee under the Indenture referred to below (the “Trustee”).
