THIS AGREEMENT, made as of the 7th day of September, 2007, by and between the SENTINEL VARIABLE PRODUCTS TRUST (“TRUST”) a Delaware business trust, SENTINEL FINANCIAL SERVICES COMPANY (“DISTRIBUTOR”), a Vermont partnership, and PHOENIX LIFE INSURANCE COMPANY (“LIFE COMPANY”), a life insurance company organized under the laws of the State of New York.

This Amended and Restated Agreement is made as of March 1, 2003 by and between PHOENIX LIFE INSURANCE COMPANY (formerly, Phoenix Home Life Mutual Insurance Company), a New York corporation (“PLIC”), and PFPC INC, a Massachusetts corporation (“PFPC”). This Agreement supercedes the Administration and Accounting Services Agreement between the parties dated as of March 1, 2001 (the “Superceded Agreement”).
