REGISTRATION RIGHTS AGREEMENT, dated as of September 4, 2007 (the “Agreement”), by and between Nationwide Financial Services, Inc., a Delaware corporation (the “Company”), and UBS AG, London Branch (“UBS”), acting through UBS Securities LLC (“Agent”) as agent. Terms not otherwise defined in this Agreement shall have the meanings ascribed to them in the Purchase Agreement (as defined below).
