This AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of September 18, 2007, among BRE PROPERTIES, INC., a Maryland corporation (the “Borrower”), each of WACHOVIA CAPITAL MARKETS, LLC and RBS SECURITIES CORPORATION, as joint lead arranger and joint book manager, THE ROYAL BANK OF SCOTLAND, PLC, as syndication agent, each of BANK OF AMERICA, N.A., JPMORGAN CHASE BANK, N.A. and DEUTSCHE BANK SECURITIES, INC., as co-documentation agents, the several financial institutions from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and WACHOVIA BANK, NATIONAL ASSOCIATION, as Administrative Agent, Swing Line Lender and L/C Issuer.
