THIS EMPLOYMENT AGREEMENT (the “Agreement”), made as of the 18th day of September, 2007, is entered into by and between Curis, Inc., a Delaware corporation (the “Company”), and Daniel R. Passeri (the “Employee”). The Agreement is intended to comply with the applicable provisions of Section 409A of the Internal Revenue Code of 1986, as amended, and the final Treasury regulations and guidance issued thereunder (“Section 409A”).
