THIS ASSET PURCHASE AGREEMENT is made as of the 2nd day of October, 2007, by and among FCC FINANCE LLC, a Delaware limited liability company (“Purchaser”), FIRST CONSUMER CREDIT, INC., a Texas corporation (“Seller”), and U.S. HOME SYSTEMS, INC., a Delaware corporation and the parent corporation of Seller (“Parent”).
