THIS STOCK PURCHASE AGREEMENT (this “Agreement”), dated as of October 31, 2007, is by and among ALTRIA GROUP, INC., a Virginia corporation (“Buyer”), BRADFORD HOLDINGS, INC., a Delaware corporation (“Seller”), and JOHN MIDDLETON, INC., a Pennsylvania corporation (the “Company”).
