This Indemnity Agreement (“Agreement”) is made as of by and between CBEYOND, INC., a Delaware corporation (the “Company”), and (“Indemnitee”). This Agreement supercedes and replaces any and all previous Agreements between the Company and Indemnitee covering the subject matter of this Agreement.
