THIS CHANGE IN CONTROL AGREEMENT (this “Agreement”), is made as of this 3rd day of May, 2007, among VALLEY NATIONAL BANK (“Bank”), a national banking association with its principal office at 1455 Valley Road, Wayne, New Jersey, VALLEY NATIONAL BANCORP (“Valley”), a New Jersey corporation which maintains its principal office at 1455 Valley Road, Wayne, New Jersey (Valley and the Bank collectively are the “Company”) and RUSSELL MURAWSKI (the “Executive”).
