THIS SECOND AMENDMENT (this “Amendment”) is made as of August 27, 2007 (the “Effective Date”) by and between Teradyne, Inc., a Massachusetts corporation having a place of business at 600 Riverpark Drive, North Reading, Massachusetts 01864, on its behalf and on behalf of its divisions and subsidiaries, including Teradyne (Asia) Pte. Ltd. and Teradyne (Shanghai) Co., Ltd.
