FIRST AMENDMENT TO CREDIT AGREEMENT (this “Amendment”), dated as of July 13, 2007, among CLEARPOINT BUSINESS RESOURCES, INC., a Delaware corporation (the “Borrower”), the several banks and other financial institutions parties to the Credit Agreement (as hereinafter defined) (collectively, the “Lenders”), and MANUFACTURERS AND TRADERS TRUST COMPANY, as Administrative Agent for the Lenders (in such capacity, the “Administrative Agent”).

FOR VALUE RECEIVED, CLEARPOINT BUSINESS RESOURCES, INC. (the “Borrower”) hereby unconditionally promises to pay to the order of MANUFACTURERS AND TRADERS TRUST COMPANY (the “Lender”) at the office of MANUFACTURERS AND TRADERS TRUST COMPANY (the “Administrative Agent”) located at 601 Dresher Road, Horsham, PA 19044, the sum of FIVE MILLION DOLLARS ($5,000,000). In addition, the Borrower agrees to make principal payments on this Note on the dates specified in the Credit Agreement (as defined below) and in the amounts determined in accordance with the provisions thereof, including any outstanding principal and accrued interest being due and payable on the Term Loan Maturity Date. The Borrower further agrees to pay interest accrued on the unpaid principal amount outstanding hereunder from time to time from the date hereof at such office in the amounts, at the rates and on the dates specified in the Credit Agreement, together with all other costs, fees and expenses as provided in the Credit
