This Amendment of Employment Agreement (“Amendment”) is made and entered into as of November 19, 2007, by and between Rainmaker Systems, Inc., a Delaware corporation (the “Company”), and Steve Valenzuela (“Employee”), for the purpose of amending the Employment Agreement dated as of February 24, 2005, by and between the Company and Employee, as amended by an Amendment of Employment Agreement dated as of February 1, 2007 (as so amended, the “Employment Agreement”). Capitalized terms not otherwise defined herein have the meaning ascribed to such terms in the Employment Agreement.
