As you know, ISB Financial Corp. (“ISBF”) has entered into an Agreement and Plan of Merger (the “Merger Agreement”) with MidWestOne Financial Group, Inc. (“MWO”) with respect to the proposed transaction (the “Merger”) whereby MWO will be merged with and into ISBF. Among the conditions of the Merger is that you and Dick Summerwill of ISBF, execute and deliver to ISBF and MWO, respectively, a letter of understanding as described in Section 6.13 of the Merger Agreement.
