This Amended and Restated Credit Agreement, dated as of November 28, 2007 (as it may be further amended, restated, supplemented or otherwise modified from time to time, this “Agreement”), is entered into by and among Patterson Companies, Inc., a Minnesota corporation, as the Company, the Subsidiary Borrowers from time to time parties hereto, the Lenders and JPMorgan Chase Bank, National Association (successor by merger to Bank One, NA (Main Office Chicago)), as administrative agent, (in such capacity, and together with its branches and affiliates, the “Administrative Agent”).
