THIS LOAN AGREEMENT (this “Agreement”), is entered into as of November 29, 2007, among the financial institutions listed on the signature pages hereof (such financial institutions, together with their respective successors and assigns, are referred to hereinafter each individually as a “Lender” and collectively as the “Lenders”), GUGGENHEIM CORPORATE FUNDING, LLC, a Delaware limited liability company, as arranger and administrative agent for the Lenders (“Administrative Agent”), WELLS FARGO FOOTHILL, INC., a California corporation, as Documentation Agent, WESTLB AG, NEW YORK BRANCH and CIT CAPITAL USA INC., as Co-Syndication Agents and RAM ENERGY RESOURCES, INC., a Delaware corporation (“Borrower”).
