WHEREAS, the Amended and Restated Bylaws of the Company (the “Bylaws”), subject to certain conditions, provide that any person who at any time serves or has served as a director or officer of the Company or of any wholly owned subsidiary of the Company shall have the right to be indemnified and held harmless by the Company to the fullest extent from time to time permitted by law against all liabilities and litigation expenses in the event a claim shall be made or threatened against that person in, or that person is made or threatened to be made a party to, any proceeding arising out of that person’s status as such or that person’s activities in any such capacity; and
