THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is entered into as of December 10, 2007, by and among EDGEWATER TECHNOLOGY-RANZAL, INC., a Delaware corporation (the “Buyer”), VERTICAL PITCH, LLC, a Colorado limited liability company (the “Seller”), and DANIEL GUDAL (the “Member”). Each of Buyer, Seller and the Member are each referred to herein as a “Party” or, collectively, as the “Parties.”
