Asset Purchase Agreement (this “Agreement”) entered into as of January 4, 2008 by and among Contango Operators, Inc., a Delaware corporation (“Contango”), Alta Resources, L.L.C., a Texas limited liability company (“Alta”), GPM Energy, LLC, a Texas limited liability company (“GPM”), MND Partners, L.P., a Texas limited partnership (“MND”) and Tepee Petroleum Company, Inc., a Texas corporation (“Tepee”), and XTO Energy Inc., a Delaware corporation (“Buyer”). Contango, Alta, GPM, MND and Tepee are hereinafter sometimes referred to collectively as the “Sellers” and individually as a “Seller.”
