THIS FOURTH AMENDMENT OF TERM LOAN AGREEMENT (this “Agreement”) is entered into on January 16, 2008, by and among WCI COMMUNITIES, INC., a Delaware corporation, as borrower (“Borrower”), KEYBANK NATIONAL ASSOCIATION, a national banking association, having its principal place of business at 127 Public Square Cleveland, OH 44114, as administrative agent (“Administrative Agent”) for the financial institutions listed on the signature pages hereto and the other financial institutions from time to time party to the Term Loan Agreement, as hereinafter defined (collectively referred to herein as the “Lenders”) and KEYBANC CAPITAL MARKETS, a division of KeyBank National Association, as Co-Lead Arranger and Sole Book Arranger, and WACHOVIA CAPITAL MARKETS, LLC, as Co-Lead Arranger.
