THIS STOCK PURCHASE AGREEMENT (“Agreement”), dated as of January 11, 2008, is made and entered into by and among Insurance Auto Auctions, Inc., an Illinois corporation (“Purchaser”), the shareholders of Salvage Disposal Company of Georgia, a Georgia corporation (“Salvage Disposal”), listed on the signature pages hereof (each individually, a “Shareholder” and, collectively, the “Shareholders”), Janet L.
