This AMENDED AND RESTATED CREDIT AGREEMENT is entered into as of January 30, 2008, by and among COMCAST CORPORATION, a Pennsylvania corporation (“Borrower”), COMCAST CABLE COMMUNICATIONS HOLDINGS, INC., a Delaware corporation, as a Co-Borrower, each lender from time to time party hereto (collectively, “Lenders” and individually, a “Lender”), JPMORGAN CHASE BANK, N.A., as Administrative Agent and an Issuing Lender, CITIBANK, N.A., as syndication agent (in such capacity, “Syndication Agent”), and Bank of America, N.A., Barclays Bank PLC, BNP Paribas, The Bank of Tokyo-Mitsubishi UFJ, Ltd., New York Branch, Deutsche Bank AG, New York Branch, The Royal Bank of Scotland plc and Wachovia Bank, N.A., as co-documentation agents (in such capacity, “Co-Documentation Agents”).
