AGREEMENT by and between AMCORE Financial, Inc., a Nevada corporation (the “Company”), and [Participant] (the “Executive”), dated as of the 2nd day of January 2008. This Agreement amends, restates and supersedes any and all prior agreements between the Company and the Executive relating to the subject matter of this Agreement, including (but not by way of limitation) the Transitional Compensation Agreement dated April 30, 2007.
