This First Supplemental Indenture, dated as of March 19, 2008 (this “Supplemental Indenture”), is by and between Citadel Broadcasting Corporation, a Delaware corporation (the “Company”), and Wilmington Trust Company, as successor trustee (the “Trustee”) pursuant to Section 8.08 of the Indenture (hereinafter defined).
