AGREEMENT made and entered into as of the 1st day of February 2008, by and between Lorillard Tobacco Company (the “Company”), a Delaware corporation with its principal office at 714 Green Valley Road, Greensboro, NC 27408, and Martin L. THIS ASSIGNMENT AND ASSUMPTION OF SERVICES AGREEMENT, effective as of April 1, 2008, by and between R.J. Reynolds Tobacco Company, a North Carolina corporation (“RJRTC”), and R.J. Reynolds Global Products, Inc., a Delaware corporation (“GPI”), with a joinder by Lorillard Tobacco Company, a corporation organized under the laws of Delaware (“Lorillard”).

Main Street, Winston-Salem, North Carolina (hereinafter “RJRGPI”), and LORILLARD TOBACCO COMPANY, a Delaware corporation, with its principal office at 714 Green Valley Road, Greensboro, North Carolina 27408 (hereinafter “Lorillard”).
