PURCHASE AGREEMENT, dated July 3, 2007 (the “Agreement”), by and among Aleris International, Inc., a Delaware corporation (“Buyer”), Connell Limited Partnership, a Delaware limited partnership (“CLP”), Connell Investment Partnership, a Massachusetts general partnership (“CIP”), and Connell IP, Inc., a Delaware corporation (together with CLP and CIP, the “Sellers,” and each a “Seller”).
