This Services Agreement (this “Agreement”), dated as of May 23, 2007 (“Effective Date”), is entered into by and between SPECTRUM GLOBAL FUND ADMINISTRATION, L.L.C., a Delaware limited liability company (the “Company”), and WORLD MONITOR TRUST III – SERIES G (“Series G”) and WORLD MONITOR TRUST III – SERIES J (“Series J”), each of which are separate series of WORLD MONITOR TRUST III, a Delaware statutory trust (“WMT III” and, together with Series G and Series J, the “Client”), under the following circumstances:

financial or otherwise, of the Advisor or in the earnings, affairs or business prospects of the Advisor, whether or not arising in the ordinary course of business, and (ii) there have not been any material transactions entered into by the Advisor other than those in the ordinary course of its business.
