THIS AMENDMENT NO. 2 TO SHAREHOLDER SERVICES AGREEMENT (“Amendment”) effective as of April 28, 2006, by and between EQUITRUST LIFE INSURANCE COMPANY (the “Company”) and AMERICAN CENTURY INVESTMENT SERVICES, INC. (“Distributor”). Capitalized terms not otherwise defined herein shall have the meaning ascribed to them in the Agreement (defined below).

Franklin Templeton Variable Insurance Products Trust (the “Trust”), Franklin/Templeton Distributors. Inc. (the “Underwriter,” and together with the Trust, “we” or “us”), EquiTrust Life Insurance Company (the “Company” or “you”), on your behalf and on behalf of certain Accounts, have previously entered into a Participation Agreement dated September 7, 2001, as amended (the “Agreement”). The parties now desire to amend the Agreement by this amendment (the “Amendment”).

(formerly, “Dreyfus Life and Annuity Index Fund, Inc.” [d/b/a Dreyfus Stock Index Fund]), and DREYFUS INVESTMENT PORTFOLIOS, is hereby amended as follows:

This is an Amendment to the Participation Agreement entered into on the 19th day of September, 2001 (“Agreement”), by and among Summit Mutual Funds, Inc. (“SMFI”), Carillon Investments, Inc. (“Carillon”), EquiTrust Life Insurance Company, on behalf of itself and its separate accounts (“LIFE COMPANY”), and EquiTrust Marketing Services, LLC.
