THIS AMENDED AND RESTATED LOAN AND SECURITY AGREEMENT (as amended, modified or supplemented from time to time, this “Agreement”) made as of 23rd day of April, 2008 by and among (i) FIFTH THIRD BANK, an Ohio banking corporation (in its individual capacity, “Fifth Third Bank”), having an office at Fifth Third Center, 38 Fountain Square Plaza, MD 109047, Cincinnati, Ohio 45263, as agent (in such capacity as agent, “Agent”) for the lenders from time to time a party hereto (“Lenders”), (ii) all other Lenders, (iii) OMNI ENERGY SERVICES CORP., a Louisiana corporation, having its principal place of business at 4500 N.E.
