Pursuant to the Amended and Restated 2000 Stock Incentive Plan (the “Plan”) as amended through the date hereof, Insmed Incorporated (the “Company”) hereby grants (x) an award of shares of restricted stock (the “Restricted Stock” or the “RS Award”) and (y) an award of restricted stock units (the “Restricted Stock Units” or the “RSU Award”) to the Grantee named above.
