This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (the “Agreement”) dated June 6, 2008 is made by and among LUMINANT HOLDING COMPANY LLC (the “Company”), ENERGY FUTURE HOLDINGS CORP. (the parent entity of the Company, “Holdings”), and MICHAEL MCCALL (the “Executive”), collectively the “Parties.”
