THIS AGREEMENT AND PLAN OF REORGANIZATION dated as of April 17, 2008, is by and among Excelsior Funds, Inc. (the “Acquired Company”), on behalf of its series thereof identified in Exhibit A hereto as the Acquired Fund (the “Acquired Fund”), Columbia Funds Series Trust (the “Acquiring Trust”), on behalf of its series thereof identified in Exhibit A hereto as the Acquiring Fund (the “Acquiring Fund”), and Columbia Management Advisors, LLC (“Columbia”).
