STOCK SUBSCRIPTION AND PURCHASE AGREEMENT (including the Exhibits, Schedules and Annexes hereto, in all cases, as amended or otherwise modified from time to time in accordance with the terms of this Agreement, this “Agreement”), dated as of July 1, 2008, by and among Trident FIS Holdings, LLC, a Delaware limited liability company (“Trident IV Investor), and Trident FIS PF Holdings, LLC, a Delaware limited liability company (“Trident Professionals” and, together with Trident IV Investor, the “Trident Investors”), Insurance Solutions Holdings, Inc., a Delaware corporation (“Holdco”), Insurance Solutions Group, Inc., a Delaware corporation (“Newco”), Fiserv, Inc., a Wisconsin corporation (“FISV”), and Fiserv Insurance Holdings, Inc., a Delaware corporation (“FISH” and, together with FISV, the “Sellers”).
