This AMENDED AND RESTATED PLEDGE AND SECURITY AGREEMENT dated as of July 17, 2008 between Hologic, Inc. (the “Borrower”) and certain domestic subsidiaries of the Borrower party hereto from time to time, whether as an original signatory hereto or as an Additional Grantor (as herein defined) (other than the Collateral Agent, each, a “Grantor”), and Goldman Sachs Credit Partners L.P. This AMENDED AND RESTATED CREDIT AND GUARANTY AGREEMENT dated as of July 17, 2008 is entered into by and among HOLOGIC, INC., a Delaware corporation (the “Borrower”), certain Subsidiaries of the Borrower, as Guarantors, the Lenders party hereto from time to time, GOLDMAN SACHS CREDIT PARTNERS L.P. (“GSCP”), as sole lead arranger and sole lead bookrunner (in such capacities, the “Sole Lead Arranger”), GSCP, JPMORGAN CHASE BANK, N.A. (“JPM”) and RBS CITIZENS, NATIONAL ASSOCIATION (“Citizens”), as Co-Syndication Agents (in such capacities, the “Co-Syndication Agents”), GSCP, as Administrative Agent (together with its permitted successors in such capacity, the “Administrative Agent”) and as Collateral Agent (together with its permitted successor in such capacity, the “Collateral Agent”), and ROYAL BANK OF CANADA (“RBC”), as Documentation Agent (in such capacity, the “Documentation Agent”).
