This FIRST AMENDMENT dated as of May 21, 2008 (the “Amendment”), to the PURCHASE AND SALE AGREEMENT (the “Agreement”) dated as of November 8, 2007 among Analog Devices, Inc., a Massachusetts corporation (the “Parent”), Analog Devices B.V., an entity organized under the laws of The Netherlands (“ADBV” and together with Parent, each individually referred to herein as a “Seller” and collectively referred to herein as the “Sellers”), Semiconductor Components Industries, LLC, a Delaware limited liability company (“SCI”), ON Semiconductor Trading, Ltd., an entity organized under the laws of Bermuda and a wholly-owned subsidiary of SCI (“ON Bermuda”), and ON Semiconductor Ireland Research and Design Limited, an Ireland corporation and wholly-owned subsidiary of SCI (“Irish Newco” and together with SCI and ON Bermuda, each, a “Buyer” and collectively, the “Buyers”).
