INVESTMENT ADVISORY AGREEMENT, dated this 29th day of June, 2007, by and between MFS INTERMARKET INCOME TRUST I, a Massachusetts business trust (the “Trust”), and MASSACHUSETTS FINANCIAL SERVICES COMPANY, a Delaware corporation (the “Adviser”).
