THIS THIRD AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF PENN VIRGINIA RESOURCE PARTNERS, L.P. dated as of August 5, 2008, is entered into by and among Penn Virginia Resource GP, LLC, a Delaware limited liability company, as the General Partner, Penn Virginia Resource GP Corp., a Delaware corporation, and Penn Virginia GP Holdings, L.P., a Delaware limited partnership, together with any other Persons who become Partners in the Partnership or parties hereto as provided herein. In consideration of the covenants, conditions and agreements contained herein, the parties hereto hereby agree as follows:

THIS AMENDED AND RESTATED CREDIT AGREEMENT is dated as of August 5, 2008 and is made by and among PVR FINCO LLC, a Delaware limited liability company (the “Borrower”), EACH OF THE GUARANTORS (as hereinafter defined), the LENDERS (as hereinafter defined), and BANK OF AMERICA, NA, BNP PARIBAS and WACHOVIA BANK, NATIONAL ASSOCIATION, each in its capacity as a documentation agent, BRANCH BANKING AND TRUST COMPANY, SOCIÉTÉ GÉNÉRALE and UNION BANK OF CALIFORNIA, N.A., each in its capacity as a senior managing agent, and PNC BANK, NATIONAL ASSOCIATION, in its capacity as administrative agent for the Lenders under this Agreement (hereinafter referred to in such capacity as the “Agent”).

This Limited Liability Company Agreement of PVR Finco LLC (this “Agreement”) is made and executed to be effective as of August 5, 2008, by Penn Virginia Resource Partners, L.P., a Delaware limited partnership (the “MLP”), together with any other Persons who hereafter become Members in the Company or parties hereto as provided herein.
