(the “Company”) entered into an Agreement and Plan of Merger (the “Merger Agreement”) with KI NutriCare, Inc., a New York corporation (“KI NutriCare”) and wholly-owned subsidiary of Kikkoman Corporation, a corporation organized under the laws of Japan, and Longhorn Acquisition Corp., a Florida corporation and a direct wholly owned subsidiary of KI NutriCare (“Purchaser”).
