THIS AMENDMENT (this “Amendment”) of Secured Promissory Note, dated July 21, 2008, is entered into by and between IdentiPHI, Inc., a Delaware corporation (the “Maker”), and Key Ovation, LLC, a Texas limited liability company (the “Holder”).
