THIS EMPLOYMENT AGREEMENT (the “Agreement”), made as of the 20th day of August, 2008 (the “Effective Date”) by and between GOLDEN STAR MANAGEMENT SERVICES COMPANY, a Delaware corporation, or its nominee (the “Company”) and MR. JOHN LABATE (the “Employee”), and acknowledged and consented to by the Company’s parent corporation, GOLDEN STAR RESOURCES LTD., a Canadian corporation (the “Golden Star”).
