AGREEMENT made and entered into in New York, New York, by and between Antigenics Inc. (the “Company”), a Delaware corporation with a principal place of business at 162 Fifth Ave Suite 900 New York, NY, and Karen Higgins Valentine (the “Executive”), effective as of the 16th day of September, 2008 (the “Effective Date”) (the “Agreement”). Words or phrases which are initially capitalized or are within quotation marks shall have the meanings provided in Section 14 below and as provided elsewhere herein.
