THIS EXECUTIVE CHANGE-IN-CONTROL SEVERANCE AGREEMENT is made, entered into, and is effective as of the day of , 2008 (hereinafter referred to as the “Effective Date”), by and between Mueller Water Products, Inc. (the “Company”), a Delaware corporation, and (the “Executive”). Executive acknowledges and represents that any and all prior agreements for change in control severance including, without limitation the agreement dated between Executive and the Company, are terminated and replaced entirely by this Agreement.

This EMPLOYMENT AGREEMENT (“Agreement”) is made as of the 15th day of September, 2008 (the “Effective Date”) by and between Mueller Water Products, Inc. (“Company”) and Gregory E. Hyland (“Executive”). This Agreement sets forth the terms and conditions of Executive’s employment and termination of employment with the Company whenever that occurs.
