(“Manitex”), a Michigan corporation, having an address at 7402 West 100th Place, Bridgeview, Illinois 60455, (formerly known as Veri-Tek International, Corp.) (the “Borrower”), unconditionally promises to pay to the order of TEREX CORPORATION, a Delaware corporation (“Terex”), the original principal sum of TWO MILLION DOLLARS AND NO CENTS ($2,000,000.00) in lawful money of the United States of America in immediately available funds.
