AGREEMENT by and between AMCORE Financial, Inc., a Nevada corporation (the “Company”), and Guy Francesconi (the “Executive”), dated as of the 25th day of August 2008. This Agreement amends, restates and supersedes any and all prior agreements between the Company and the Executive relating to the subject matter of this Agreement, including (but not by way of limitation) the Transitional Compensation Agreement dated April 30, 2007.
