THIS RESTRICTED STOCK UNITS AWARD AGREEMENT, dated as of this day of , 2009, between Universal Corporation, a Virginia corporation (“the Company”) and (the “Participant”), is made pursuant and subject to the provisions of the Company’s 2007 Stock Incentive Plan, as amended, and any future amendments thereto (the “Plan”).
