THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is entered into on November 14, 2008 and, except as provided herein, its terms will become effective as of January 1, 2009 (the “Effective Date”), by and between InnerWorkings, Inc., a Delaware Corporation (the “Company”), and Eric Belcher (“Executive”).

THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) will be effective as of January 1, 2009 (the “Effective Date”), by and between InnerWorkings, Inc., a Delaware corporation (the “Company”), and Steve Zuccarini (“Zuccarini”).
