THIS ASSET PURCHASE AGREEMENT (this “Agreement”) is entered into as of January 31, 2009, by and among Insituform Technologies, Inc., a Delaware corporation (“ITI”), TBC Acquisition Corp., a Delaware corporation (“Buyer”) and The Bayou Companies, LLC, a Louisiana limited liability company (“Seller”).
