THIS FIFTH AMENDMENT (“Amendment”) to the Participation, Market Consulting and Administration Agreement dated June 22,1998, as previously amended September 25, 2000, June 30,2001, June 30,2005 and May 21,2007 (“Agreement”) is made and effective as of the 30th day of April 2008, by and among the original Parties to the Agreement, namely, Vanguard Variable Insurance Fund, Inc.
