This Amended and Restated Employment Agreement (the “Amended Agreement”) is effective this 31st day of December 2008 and amends and restates in it its entirety that certain Employment Agreement (the “Original Employment Agreement”), dated as of May 16, 2008 (the “Effective Date”), by and between NightHawk Radiology Holdings, Inc., a Delaware corporation (“Employer”), and Mr. David Sankaran (“Executive”).
