(the “Trustee”), and William M. Mercer, Inc. (the “Consulting Firm”), providing for the establishment of a trust to be known as the State Street Boston Corporation Executive Compensation Trust (hereinafter called the “Trust”) to provide a source for payments required to be made to participants (the “Participants”) under certain nonqualified employee benefit plans of the Company and certain subsidiaries of the Company, which plans are listed on Exhibit A hereto (the “Plans”).
